Version 2.0, effective 2026-08-06. Reference LSK-LEGAL-TERMS-V2.0. ## At a glance This is a reading aid, not the agreement. The clauses below are. - Using Khata means you accept these Terms and the Privacy Policy. - Khata is free. One business plan, every feature included, no expiring trial and no card required. - Web dashboard access is granted on request for larger businesses. Commercial terms, if any, are discussed privately with our team. - You are responsible for your account, your staff logins, and the accuracy of what you record. - Your business data belongs to you. We do not sell it. - The service is provided as is, and our liability is limited. Disputes are governed by the laws of India and Nepal. ## 1. Acceptance of Terms 1.1 By creating an account or using any part of the Khata application, web dashboard or related services (the "Service"), you accept and agree to be bound by these Terms of Use and our Privacy Policy. 1.2 **(important)** If you do not agree to these Terms, you must not access or use the Service. 1.3 The Service is operated by Lacspace Corporation Pvt. Ltd. ("Lacspace", "we", "us"). Khata is a product of Lacspace. ## 2. Cost and Access 2.1 **(important)** Khata is provided free of charge. We offer a single business plan and every feature in it is included at no cost, with no trial period that expires. 2.2 Khata has no checkout. Neither the app nor this website asks for a payment card or processes a payment, and there is nothing to buy through them. 2.3 Web dashboard and desktop access is granted on request. Larger businesses ask the Khata team for it and we approve access individually. 2.4 **(important)** Any commercial arrangement outside the free business plan is agreed privately and directly with the Khata team. We do not publish commercial terms; contact us at support@lacspace.com to discuss them. 2.5 We may modify, add or discontinue features at our discretion. Providing Khata at no cost does not transfer ownership of it to you, and creates no obligation to maintain any particular feature indefinitely. ## 3. User Accounts and Responsibilities 3.1 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. 3.2 You agree to provide accurate and complete information when you register, and to keep that information up to date. 3.3 You must notify us immediately at support@lacspace.com if you become aware of any unauthorised use of your account. 3.4 Where you create staff logins, you are responsible for the permissions you grant them and for the actions those accounts take. Khata provides per-role permissions so you can limit what each staff member can see and do. 3.5 **(important)** You are responsible for the accuracy of the records you enter. Khata records what you tell it; it does not verify the underlying transactions, and its output is not a substitute for professional accounting or tax advice. ## 4. Your Data 4.1 The business records you create in Khata — customers, products, orders, ledgers and related content — remain yours. 4.2 **(important)** We do not sell or rent your data. How we handle it is set out in the Privacy Policy, which forms part of these Terms. 4.3 You grant us the limited licence necessary to store, process, back up and transmit your data for the purpose of operating the Service for you. ## 5. Prohibited Use 5.1 You agree not to use the Service for any of the following: - Any illegal purpose, or in violation of any local, national or international law. - Interfering with or compromising the integrity or security of the Service, or deciphering transmissions to or from its servers. - Uploading invalid data, viruses, worms or other harmful software. - Collecting or harvesting personally identifiable information, including account names, from the Service. - Impersonating another person or misrepresenting your affiliation with a person or entity. - Accessing the Service by any means other than those we provide or authorise. - Building, assisting or enhancing a competing product using the Service. 5.2 **(important)** Violation of this section may result in immediate suspension or termination of access, and may give rise to legal action. ## 6. Intellectual Property Rights 6.1 The Service and its contents, features and functionality — including software, text, displays, images, audio, and their design — are owned by Lacspace and protected by copyright, trademark and other intellectual property laws. 6.2 These Terms grant you a limited right to use the Service. They do not transfer ownership of it. The full licence terms are set out in the License & Conduct document. ## 7. Termination 7.1 We may suspend or terminate your access to the Service without prior notice if you breach these Terms. 7.2 You may stop using the Service at any time. Khata is free, so there is nothing to cancel and no charge arises on termination. 7.3 On termination your right to use the Service ceases immediately. Provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability and governing law — continue to apply. ## 8. Disclaimers 8.1 **(important)** The Service is provided on an "as is" and "as available" basis. Lacspace makes no warranties, express or implied, and disclaims all warranties including merchantability, fitness for a particular purpose, accuracy, uptime and non-infringement. 8.2 We do not guarantee that the Service will operate uninterrupted or error-free. You are responsible for keeping your own records of transactions material to your business. ## 9. Limitation of Liability 9.1 **(important)** To the fullest extent permitted by law, Lacspace shall not be liable for lost revenue or profits, business disruption, data loss, or any indirect, incidental, special or consequential damages arising out of the use of or inability to use the Service. 9.2 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, or for death or personal injury caused by negligence. ## 10. Governing Law and Disputes 10.1 These Terms are governed by the laws of India and Nepal, without regard to conflict-of-law provisions. 10.2 Any suit, action or proceeding arising out of these Terms shall be instituted exclusively in the courts of Delhi, India, and you consent to their jurisdiction. 10.3 If you access the Service from outside India or Nepal, you are responsible for compliance with your local laws. ## 11. Changes to These Terms 11.1 We may modify or replace these Terms at our discretion. We will give at least 30 days' notice before materially new terms take effect. 11.2 Every version is published in the Legal Centre with its effective date and a record of what changed, so you can see the history rather than take our word for it. 11.3 By continuing to use the Service after revisions take effect, you agree to the revised Terms. ## 12.
