The licence under which you may use Khata, what you may not do with it, and the terms on which it can be withdrawn.

A plain-language summary. The numbered clauses below are what legally applies.
- Khata is licensed to you, not sold. It is not open source, and the licence is free.
- You may use it for your own business, on as many of your own devices as you like.
- You may not resell it, reverse-engineer it, or use it to build a competing product.
- Breaking these terms ends the licence automatically.
- The licence costs nothing. Anything commercial is agreed privately with our team.
1. Introduction
1.1This agreement governs your use of Khata, a business management application developed and owned by Lacspace Corporation Pvt. Ltd.
1.2By installing, accessing or using Khata you acknowledge that you have read, understood and agreed to be bound by this agreement. If you do not agree, you must stop using the application.
2. Intellectual Property Ownership
2.1Khata — including its source code, interface and visual design, algorithms, databases, trademarks, creative assets and documentation — is the exclusive intellectual property of Lacspace. All rights are reserved.
2.2Khata is licensed, not sold, and is not provided under any open-source licence. You receive no ownership rights.
2.3The software is protected under Indian, Nepalese and international intellectual property law.
3. License Grant
3.1Subject to your compliance with this agreement, Lacspace grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to use Khata for your own personal or business operations.
3.2No fee is payable for this licence. Where you are granted web dashboard or desktop access, that access is governed by this same licence.
3.3You may use the licence across your own devices and staff accounts within your business. Use beyond the scope of this section is a material breach.
4. Usage Restrictions
4.1You agree not to:
- Resell, rent, lease, sublicense or redistribute the application or any part of it.
- Reverse-engineer, decompile, disassemble or otherwise attempt to derive the source code.
- Modify the application or create derivative works from it.
- Remove or alter any proprietary notice or branding.
- Use the application to build, assist or enhance a competing service.
- Use the application for any fraudulent, harmful or illegal activity.
4.2Breach of this section terminates the licence immediately and may give rise to legal action.
5. Availability of Features
5.1Khata is provided with its features included as shipped. Features may be modified, added or discontinued at our discretion.
5.2Providing the mobile app at no cost does not transfer ownership of the underlying system, and does not oblige us to maintain any particular feature indefinitely.
6. Termination of License
6.1Your licence terminates automatically and without notice if you fail to comply with this agreement.
6.2We may withdraw web dashboard or desktop access at our discretion. Doing so does not affect your licence to use the Khata app.
6.3On termination you must stop using Khata and delete all copies in your possession. You may request an export of your own business records before doing so.
7. No Warranty
7.1Khata is provided "as is" and "as available". Lacspace disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, accuracy, uptime and non-infringement.
7.2We do not guarantee that the application will operate uninterrupted or error-free.
8. Limitation of Liability
8.1To the fullest extent permitted by law, Lacspace shall not be liable for lost revenue or profits, business disruption, data loss, or any indirect, incidental or consequential damages.
8.2Our total aggregate liability for all claims shall not exceed INR 5,000. Khata is provided free of charge, so a cap expressed as a proportion of fees paid would resolve to nothing; this is a stated floor instead.
8.3Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited.
9. Governing Law and International Use
9.1This agreement is governed by the laws of India and Nepal. Disputes shall be resolved exclusively in the courts of Delhi, India, and you consent to their jurisdiction.
9.2If you access Khata outside India or Nepal, you are responsible for compliance with your local laws, including export controls and other regulatory restrictions.
